The governing body of the Company is the NAG Board of Directors. The Board has nine members, four of whom are elected by members of the Company, two are ex officio appointments by the Board from among the senior management team, two are appointed by the Board through co-option and one staff Director elected by NAG employees.
Membership
There are currently over 250 members of NAG. The majority of members are past and current employees or people who have had significant involvement in the Company's affairs be it as a supplier, collaborator, advocate of our products and services, code contributor or customer.
Membership applications are administered by the Membership Subcommittee, with requests to the Company Secretary (see below), who recommend applicants to the Board of Directors on a quarterly basis. The Board review the applications as well as inviting such other persons that the Board feel have demonstrated significant interest in the objectives of the Company to merit being invited into Membership. The responsibility for determining membership, therefore, rests with the Board.
Becoming a member of the Company is a formal act of association. On the one hand, the new member wishes to be identified with the aims and activities of NAG, and on the other hand, the Company wishes to acknowledge his or her efforts on behalf of NAG. The power of members to influence the direction of the Company are set out in the Memorandum & Articles of Association.
All members are entitled to attend and vote at General Meetings and the Annual General Meeting (AGM) takes place in September each year. Members receive regular information on the Company's progress via Members Digest and the Company's Annual Report and Accounts. All member’s communications are made electronically (via email) to minimise our impact on the environment.
The liability of members is limited to one pound sterling and the Company is prohibited from distributing earnings. Membership, therefore, other than the nominal liability described above, carries no financial significance.
All trading surpluses are either committed to reserves or re-invested into activities aligned to Company objectives which include investing to grow the Company, sponsorship of academia, student placements and the like.
